1. About these terms

The website, online store and customer portal available at capitaljayco.com (collectively, the “Services”) are operated by CAPITAL JAYCO INC., a corporation incorporated under the Business Corporations Act (Quebec), registered with the Quebec enterprise register under Quebec enterprise number (NEQ) 1174451204, with a place of business at 2351 boulevard Fernand-Lafontaine, Longueuil, Quebec J4N 1N7, Canada (“Capital Jayco”, “we”, “our”).

These terms of use and sale (the “Terms”) govern access to and use of the Services, as well as purchases made through them. By accessing the Services, opening an account or placing an order, you agree to be bound by the Terms. If you do not agree, do not use the Services.

If you accept the Terms on behalf of a business, you represent that you have authority to bind it, and “you” then refers to that business.

2. Services reserved for businesses

The Services are intended exclusively for businesses. The online store is not intended for consumers, and Capital Jayco does not sell to the general public.

Access to pricing, the full catalogue and the ordering function requires a partner account approved in advance by Capital Jayco. Submitting an account application creates no obligation on our part to approve it.

By opening an account and placing an order, you represent and warrant that:

Capital Jayco may refuse, suspend or close an account at its discretion, including if any of these representations ceases to be accurate.

If, despite the foregoing, a transaction were to qualify as a consumer contract under the Consumer Protection Act (Quebec) or any other applicable law, nothing in these Terms operates to exclude, limit or modify the rights that such law confers on you, and inconsistent provisions do not apply to that extent.

3. Account agreement and order of precedence

Opening a partner account involves signing an account agreement, which may include a credit application, guarantees or suretyships, a distribution agreement and any other document agreed between the parties (the “Account Agreement”).

The Account Agreement sets out the commercial terms specific to your account, including the credit limit, payment terms, the rate applicable to past due balances, discounts, specific delivery conditions and negotiated warranty terms. Those terms are not reproduced in these Terms.

In the event of conflict:

General terms printed on or attached to your purchase orders, acknowledgements or other documents do not apply and are expressly rejected, even if we fill the order without objecting to them.

4. Account, credentials and users

Your account is tied to your business. You manage the users authorized to access it and you are responsible for their acts as for your own, including orders they place.

You must keep access credentials confidential, not share them outside your business, and notify us without delay at info@capitaljayco.com of any unauthorized use or suspected compromise. You remain responsible for transactions made through your account until we have received that notice and had a reasonable time to act.

You must promptly remove access for any user who leaves your business or whose duties no longer justify access.

Capital Jayco may suspend access to an account for reasons of security, non-payment or breach of the Terms.

5. Catalogue, pricing and availability

Prices are displayed in Canadian dollars and exclude applicable taxes, shipping charges, duties and other fees, which are added where applicable.

Displayed prices are specific to your account and may differ from those shown to other partners. They may change at any time without notice. The price applicable to an order is the one confirmed when the order is accepted.

Descriptions, specification sheets, images, dimensions and performance data published on the Services are provided for guidance. They originate in whole or in part from manufacturers and may contain errors, omissions or outdated information. Product specifications may be changed by the manufacturer without notice. It is your responsibility to confirm that a product is suitable for the intended use before ordering.

Quantities shown in the portal reflect inventory at a point in time and are not a guarantee of availability. Capital Jayco may change, restrict or withdraw a product from the catalogue at any time.

If an error in price, description or availability is identified in respect of an order, Capital Jayco may, before shipment or pickup, correct the error and allow you to confirm the order at the corrected price, or cancel the order and refund in full any amount collected.

6. Orders

An order placed through the Services constitutes an offer to purchase. The contract of sale is formed only when Capital Jayco accepts the order. An automatic acknowledgement confirms receipt of the order but does not constitute acceptance.

Capital Jayco may refuse an order in whole or in part, or limit quantities, including in the event of stock shortage, error, credit limit overrun, past due balance, or suspected fraud or unauthorized resale.

You may enter a purchase order number for reference. That number is used to locate the order and does not incorporate your general terms, in accordance with section 3.

An accepted order may not be modified or cancelled without our written consent. Special orders and non-stock products may not be modified or cancelled once accepted.

7. Payment, credit and past due accounts

Accepted payment methods, payment terms and the credit limit applicable to your account are those set out in the Account Agreement.

The credit limit and available balance shown in the customer portal are provided for guidance. They come from our accounting system, may lag, and do not constitute a commitment to extend credit. Capital Jayco may review, reduce or suspend a credit limit at any time, including in light of your payment history.

Past due balances bear interest at the rate set out in the Account Agreement, from the due date until payment in full. You are also responsible for reasonable collection costs and extrajudicial fees incurred to collect an unpaid balance.

If a balance is past due, Capital Jayco may suspend deliveries, hold pending orders, suspend account access or require payment in advance, without prejudice to its other remedies.

Payments are applied first to fees and interest, then to the oldest invoices, unless otherwise agreed in writing.

Fees associated with a particular payment method, if any, are those set out in the Account Agreement or communicated before the transaction is completed.

8. Delivery, pickup and transfer of risk

Orders are delivered or made available for pickup at our warehouse, as agreed at the time of the order.

Delivery dates and lead times are estimates and are not a contractual commitment. Capital Jayco is not liable for the consequences of a delivery delay, including jobsite penalties, idle labour costs or lost contracts.

For a pickup, the person attending must be identified in advance in the order and be able to present identification. Capital Jayco may refuse to release the goods if identification is not satisfactory.

Risk of loss and damage passes to the buyer upon handover of the goods to the carrier, upon delivery at the stated address, or upon pickup, whichever occurs first.

You must inspect the goods on receipt. Any visible damage, shortage or discrepancy must be noted on the delivery slip or bill of lading at the time of receipt and reported to us in writing within five (5) business days of receipt. After that period, the goods are deemed conforming and accepted, subject to latent defects and to the warranties in section 11.

9. Retention of title

Notwithstanding the transfer of risk under section 8, Capital Jayco remains the owner of the goods sold until full payment of their price, related taxes, interest and charges.

Until such payment, you hold the goods as depositary, must keep them in good condition, insure them for their replacement value and keep them identifiable and separate from your other property to the extent reasonable.

In the event of default in payment, Capital Jayco may demand the return of unpaid goods and access them to repossess them, in accordance with applicable law. This remedy is in addition to any other remedy and does not terminate the sale or waive the balance owing.

You consent to Capital Jayco publishing or registering any notice necessary to make its rights enforceable against third parties, and you agree to sign the documents reasonably required for that purpose.

10. Returns and cancellations

All returns require a prior return authorization from Capital Jayco. Goods returned without authorization may be refused on receipt.

Unless the Account Agreement provides otherwise, a return request must be submitted within thirty (30) days of the invoice date. The goods must be new, unused, complete and in intact original packaging, together with the invoice or purchase order number.

A restocking fee of twenty percent (20%) of the invoiced price applies to accepted returns. Return shipping costs are at your expense, except where the return results from an error by Capital Jayco.

The following are not returnable:

An accepted return results in a credit note applied to your account. A refund to the original payment method may be issued at our discretion.

This section covers returns for convenience. Non-conformities and defects are dealt with in sections 8 and 11.

11. Warranty

Capital Jayco is a distributor and not the manufacturer of the products sold.

Products are covered by the applicable manufacturer’s limited warranty, on the terms, for the duration and subject to the exclusions determined by the manufacturer. Capital Jayco passes the benefit of that warranty on to you to the extent it is transferable, and assists you in processing claims. Capital Jayco offers no warranty separate from the manufacturer’s, except where expressly stated in writing.

Warranty claims are submitted through the customer portal, from the original purchase order and the unit serial number. You must provide the information and supporting documents requested, including the commissioning date, the identity of the installing contractor and maintenance records. An incomplete claim may be denied by the manufacturer.

The manufacturer’s warranty is generally subject to the following conditions, compliance with which is your responsibility:

Unless the manufacturer or the Account Agreement provides otherwise, the warranty covers parts and does not cover labour, travel charges, refrigerant recovery and recharge, temporary equipment rental or other service costs.

Excluded are defects resulting from non-compliant installation, inadequate sizing, deficient electrical supply, lack of maintenance, misuse, accident, casualty loss, unauthorized modification or the use of unapproved parts.

Nothing in this section excludes the legal warranty of quality under the Civil Code of Québec to the extent it cannot be limited by agreement between merchants.

12. Installation, compliance and safety

Products sold by Capital Jayco are intended to be installed, commissioned, maintained and repaired only by qualified and duly licensed professionals. They are not sold for installation by an end user.

As a commercial buyer, you alone are responsible for:

Capital Jayco does not provide design, load calculations, jobsite supervision or installation services. Technical advice or product recommendations given by our staff are provided for guidance, based on the information you supply, and do not replace your own professional verification.

Capital Jayco assumes no liability for damage resulting from installation, commissioning, maintenance or use that does not comply with the manufacturer’s instructions or applicable regulations.

13. Support services and financing

The Services also present support offerings for contractors, including digital marketing and lead generation, recruiting, training, automation and management consulting.

These offerings are not sold through the online store. They are the subject of separate written agreements, the terms of which prevail over these Terms in respect of them.

Figures, averages, examples and testimonials published on the Services regarding these offerings are provided for illustration. They describe results observed in particular circumstances, do not constitute a warranty or commitment as to results, and actual results vary with the market, the territory, operational capacity and the efforts of each business.

Financing solutions presented on the Services are offered by third-party financial institutions or lenders. Capital Jayco is neither a lender nor a consumer credit broker and extends no financing. Any application is subject to the approval of the third party concerned and governed by its own terms. Capital Jayco is not responsible for the decisions of those third parties or the terms they impose.

14. Intellectual property

The Services, their code, layout, text, images, video, illustrations, databases and all of their content are protected by intellectual property laws and remain the property of Capital Jayco or its licensors.

“Capital Jayco” and the associated logos are marks of Capital Jayco. The marks of the manufacturers whose products are distributed remain the property of their respective owners. Their presence on the Services grants you no right of use.

Subject to compliance with the Terms, Capital Jayco grants you a limited, revocable, non-exclusive and non-transferable licence to access the Services and consult their content solely for the purposes of your business relationship with Capital Jayco. You may reproduce specification sheets and materials expressly made available to you in support of the resale or installation of purchased products, without modifying them or removing proprietary notices.

Any other use is prohibited without our prior written authorization.

16. Confidentiality of pricing and commercial information

Prices, discounts, credit limits, availability and other information accessible from your account constitute confidential commercial information of Capital Jayco.

You agree to use it solely for your business relationship with Capital Jayco, to restrict access to those within your business who need to know it, and not to disclose it to any third party, in particular a competitor of Capital Jayco or another distributor, nor to publish it.

This obligation does not apply to information that is in the public domain other than through your act, and does not prevent you from disclosing information whose disclosure is required by law or by an order, in which case you notify us without delay where the law permits.

This obligation survives the closing of your account.

17. Content you submit to us

You retain ownership of the information, documents, photographs and other content you submit through the Services, including in support of a warranty claim or an account application.

You grant Capital Jayco a non-exclusive licence to use, reproduce and communicate that content to the extent necessary to process your request, including with the manufacturer concerned, and to comply with its legal obligations.

You represent that you hold the necessary rights in the content submitted and agree not to submit inaccurate information, or any personal information whose disclosure is not necessary to process your request.

18. Personal information

The handling of personal information is described in our Privacy Policy, which forms an integral part of these Terms. In the event of conflict between the two documents on the collection, use or disclosure of personal information, the Privacy Policy prevails.

19. Third-party services and links

The Services are hosted by Shopify and rely on third-party providers, including for payment processing, transportation, cloud infrastructure and analytics. Those providers act under their own terms.

The Services may link to sites or platforms operated by third parties, including manufacturers and financing partners. Capital Jayco exercises no control over those sites, does not necessarily endorse their content and assumes no responsibility for them.

20. Disclaimer regarding the Services

The Services are provided “as is” and “as available”.

Capital Jayco does not warrant that the Services will be available without interruption or free of errors or vulnerabilities, or that the information they contain, including specification sheets, images, quantities and lead times, will be accurate, complete or current at all times. Capital Jayco may modify, suspend or discontinue all or part of the Services at any time, including for maintenance.

This section concerns the Services themselves. It does not restrict the warranties applicable to the products sold, which are dealt with in section 11.

21. Limitation of liability

To the extent permitted by applicable law:

These limitations do not apply to bodily or moral injury, to intentional or gross fault, or to any other liability that cannot be limited or excluded under applicable law.

22. Indemnification

You agree to indemnify and hold harmless Capital Jayco, its directors, officers, employees and agents from any claim, proceeding, loss, award, fine and all reasonable costs, including extrajudicial fees, arising from:

Capital Jayco is not liable for non-performance or delay in performing its obligations where it results from an event of force majeure, including an act of God, casualty loss, epidemic, labour dispute, major telecommunications or cloud infrastructure outage, cyberattack, supply disruption, a manufacturer’s decision, government measure or customs or trade restriction.

Obligations to pay amounts already due are not suspended by this section.

24. Suspension and termination

Capital Jayco may suspend or terminate your access to the Services and close your account, with or without notice, in the event of breach of these Terms or of the Account Agreement, a past due balance, reasonable suspicion of fraud or unlawful activity, or for a legitimate business reason.

You may request the closing of your account at any time by writing to info@capitaljayco.com.

Closing an account does not affect orders already accepted, amounts owing, or rights and obligations arising before closing. Sections 9, 11, 12, 14, 16, 17 and 20 through 28 survive the closing of the account and the termination of these Terms.

25. Changes to the Terms

Capital Jayco may modify these Terms at any time. The modified version is posted on the Services and the last updated date is revised accordingly.

Changes take effect on posting. In the event of a material change, reasonable notice is given to you by email or by notice posted in the customer portal. Using the Services or placing an order after a change takes effect constitutes acceptance of the modified version.

The Terms applicable to an order are those in force when that order is accepted.

26. Governing law and jurisdiction

These Terms and any sale concluded through the Services are governed by the laws applicable in the Province of Quebec and the federal laws of Canada applicable therein, excluding conflict of laws rules and the United Nations Convention on Contracts for the International Sale of Goods.

The parties agree that any dispute will be submitted to the exclusive jurisdiction of the courts of the judicial district of Longueuil, Province of Quebec, and elect domicile there.

27. Language

These Terms are drafted in French. An English version is made available to you for convenience. In the event of any discrepancy between the two versions, the French version prevails.

28. General provisions

Entire agreement. These Terms, the Privacy Policy and the Account Agreement constitute the entire agreement between the parties as to their subject matter and supersede any prior agreement or representation on the same subject.

Severability. If any provision of the Terms is held invalid or unenforceable, it is deemed severed or reduced to what is valid, and the remaining provisions remain in force.

No waiver. Capital Jayco’s failure to exercise a right does not constitute a waiver of that right or of any other right.

Assignment. You may not assign your rights or obligations without our prior written consent. Capital Jayco may assign its own, including in connection with a reorganization, merger or sale of business.

No partnership. Nothing in these Terms creates a partnership, joint venture, mandate or employment relationship between the parties. The term “partner” designates a customer holding an approved account and implies no legal association.

Notices. Notices you send us are sent to the contact details in section 29. Notices we send you are sent to the email address on file with your account or posted in the customer portal, and are deemed received on the business day following their sending or posting.
